Terms of Service

These Terms of Service constitute a legally binding agreement between you and ParasolCo governing your access to and use of parasol-co.com and any purchase made through it. By placing an order or using our Site, you confirm you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

You must be at least 18 years of age to use this Site or place an order. By using the Site, you represent and warrant that you meet this requirement. Your continued use of the Site following any modification to these Terms constitutes acceptance of those changes.

2. Nature of Our Business

ParasolCo is an independent online retailer. We work with established manufacturing and fulfillment partners who ship orders on our behalf; we do not operate our own warehouse. ParasolCo remains the seller of record and your single point of contact for every order.

3. Orders & Payment

• All orders are subject to acceptance and availability. Receipt of an order confirmation does not constitute acceptance.
• Prices are in US Dollars and subject to change without notice. Checkout price is the price charged.
• Payment is due in full at time of order. Processed securely via Stripe.
• You are responsible for ensuring all billing and shipping information is accurate.
• Applicable sales taxes are calculated and added at checkout based on delivery address.

4. Product Disclaimers

• Product colours may appear differently due to monitor calibration.
• Dimensions and specifications are provided by suppliers and may vary within manufacturing tolerances.
• ParasolCo does not independently verify supplier claims regarding UV ratings, wind resistance, or certifications.
• ParasolCo is not responsible for property damage or personal injury resulting from improper use, failure to follow assembly instructions, or use in conditions exceeding rated specifications.

Safe Use: Always close and secure parasols in winds exceeding 25mph. Always use an appropriately weighted base. ParasolCo accepts no liability for accidents resulting from failure to follow safe use guidelines.

5. Limitation of Liability

• ParasolCo's total liability shall not exceed the amount you paid for the specific order giving rise to the claim.
• ParasolCo shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or opportunity.
• ParasolCo is not liable for acts or omissions of third-party suppliers, carriers, or payment processors.
• ParasolCo expressly disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.

6. Governing Law & Disputes

These Terms are governed by the laws of Delaware, United States. Before formal dispute proceedings, you agree to contact us at legal@parasol-co.com and make a good-faith effort to resolve the issue within 30 days.

Binding Arbitration: Unresolved disputes shall be resolved by binding individual arbitration under AAA Consumer Arbitration Rules. You waive your right to a jury trial and class action participation.

7. Changes to Terms

ParasolCo reserves the right to modify these Terms at any time. Material changes will be communicated via email. Your continued use of the Site constitutes acceptance of revised Terms.
